1. About VanTally

VanTally is a digital platform that enables motor traders to connect, browse each other's stock, propose swaps, view AI-generated compatibility scores, and communicate regarding vehicle trades.

VanTally:

• Does not own any vehicles listed on the platform
• Does not act as a vehicle broker or intermediary
• Does not inspect, verify, or guarantee vehicle condition
• Does not hold, transfer, or manage money
• Is not a party to any contract of sale, swap, or trade between traders

All agreements are made directly between traders, who remain fully responsible for completing any trade or swap.

2. Eligibility & Account Requirements

To use VanTally, traders must:

• Be a registered motor trader or dealer
• Provide accurate business and identity details
• Have legal authority to trade vehicles
• Maintain up-to-date stock information
• Not misuse or manipulate the platform

VanTally reserves the right to suspend or terminate any account for misuse or breach of these Terms.

3. Trader Responsibilities

By uploading vehicles or using the platform, traders confirm:

• They legally own the vehicle or have authority to trade it
• The vehicle is free from undisclosed finance
• All information provided (mileage, condition, VAT status, history, etc.) is accurate
• All known damage, faults, defects, and advisories are disclosed
• VAT classification is correct and legally compliant
• They will conduct their own due diligence and inspection

Traders are solely responsible for the legality and accuracy of all information submitted.

4. VAT Responsibility

VanTally does not provide VAT advice and does not determine whether vehicles are VAT Qualifying, Margin Scheme, or Non-VAT applicable.

• VAT status must be correctly set when listing a vehicle
• VAT must be accounted for correctly in any transaction
• Any VAT disputes remain strictly between traders

VanTally accepts no liability for losses caused by incorrect VAT classification.

5. AISwapLogic – AI Disclaimer

VanTally uses a proprietary AI-driven scoring engine ("AISwapLogic") to generate compatibility scores and swap suggestions.

• AISwapLogic provides guidance only
• It does not provide valuations, guarantees, or recommendations
• Scores depend on trader-submitted data and may not reflect true market value

Traders must rely on their own expertise and inspections. VanTally accepts no liability for decisions made using AISwapLogic.

6. Swap Offers, Acceptances & Confirmations

VanTally provides tools to view stock, request swaps, accept swaps, and confirm swaps using the Swap Confirmation Agreement.

• VanTally is not a party to any agreement
• VanTally does not guarantee vehicle accuracy
• VanTally is not responsible for payments

7. Top-Up Payments

Any financial differences agreed between traders ("top-ups") are private arrangements.

• VanTally does not collect or hold money
• No payment guarantees are provided
• VanTally is not responsible for payment disputes

8. Fraud, Misuse & Platform Behaviour

Accounts may be suspended or removed for:

• Misdescribing vehicles
• Uploading stolen, cloned, or financed vehicles
• Fraudulent or dishonest activity
• Repeatedly backing out of confirmed swaps
• Reverse engineering or copying platform logic
• Abusive or unprofessional behaviour

9. Intellectual Property

All intellectual property relating to VanTally remains the exclusive property of VanTally, including AI logic, scoring algorithms, platform design, data, and branding.

Users may not:

• Copy or reproduce AISwapLogic
• Reverse engineer platform mechanisms
• Use platform data to create competing services

10. Liability Limitation

VanTally is not liable for:

• Misdescribed vehicles or undisclosed damage
• Failed swaps or trader cancellations
• Lost profits or opportunity costs
• VAT errors
• Disputes between traders
• Reliance on AI scoring

VanTally's total liability is limited to £0, except where prohibited by law.

11. No FCA Regulation / Auctioneers Act

As VanTally does not handle funds or broker transactions:

• The platform is not FCA regulated
• The platform is not acting as an auctioneer
• No financial intermediation is conducted

12. Termination

VanTally may suspend or terminate any account without notice where misuse, fraud, repeated swap cancellations, or legal risks are identified.

13. Governing Law

These Terms are governed by the laws of England & Wales.
